Instarem SME Referral Programme Terms and Conditions
Nium Pte. Ltd. (“Nium”) (formerly known as Instarem Pte. Limited (“Instarem”)) will provide its SME client users with access to a referral link in the Referrals page of the SME’s Instarem SME Portal, which the user can send to prospective customers (“Prospective Customers”) and which allow Prospective Customers to sign up to an Instarem business account (“Referral Activities”).
Instarem is a trading name of Nium, the parent company of Nium subsidiaries globally. Nium is regulated by the Monetary Authority of Singapore as a Major Payment Institution under License No. PS20200276.
During the period 1 April 2025 to 30 June 2025 (“Promotion Period”), Nium shall provide the user with a gift voucher or similar reward (the specific details of which will be set out in an email the user will receive from Nium upon meeting the specific criteria set out below) (“Reward”) for each Prospective Customer who:
- has signed up to use Instarem’s services in the Promotion Period using the referral link provided to the Prospective Customer by the user;
- has their application for an Instarem business account approved by Instarem; and
- has completed paid transactions equivalent to USD 3,000 within two (2) months of their Instarem business account being opened (not including any cancelled, rejected or unpaid transactions) or transactions which do not meet Instarem’s legal and regulatory requirements).
The Reward is subject to the following conditions:
- the user will only be eligible for the Reward if the Instarem SME client that the user is employed by has a registered account with Instarem at the time of the successful referral (being when all three of the above conditions are satisfied);
- the user will receive the Reward from Nium by email (to the email address used by the user to log into the Instarem SME portal) within 5 business days of fulfilling the above conditions;
- a user can receive no more than 10 Rewards in the Promotion Period;
- Nium is not responsible for any lost or stolen Rewards awarded to the Partner;
- employees of Nium or Instarem are not eligible to participate in the Instarem SME Referral Programme.
Nium reserves the right to cancel the Instarem SME Referral Programme at any time.
Users agree:
- to portray and position Nium, its affiliates, and Nium’s products and services (“Nium Services”) in a favorable light in all communications, whether written and oral, and refrain from any action or inaction that would reduce or negatively affect the goodwill associated with Nium, its affiliates, and the Nium Services;
- not to (i) make any representations, warranties, or guarantees in connection with Nium, its affiliates, or the Nium Services; (ii) display or use Nium’s IPR (as defined below) or any other materials incorporating Nium’s name and IPR; (iii) hold itself out as the provider of the Nium Services or an agent of Nium in respect of the Nium Services in communications to any third party, advertising, promotion or marketing activities (“Promotional Materials”); (iv) represent itself as having the authority to bind Nium or its affiliates or as having any connection with Nium or its affiliates – other than as provided in this Agreement or approved by Nium in writing;
- not to engage in any action that would reduce or negatively affect the goodwill associated with Nium, its affiliates, and the Nium Services;
- to comply with all reasonable instructions of Nium, and provide Nium with reasonable assistance as Nium may require;
- that (a) Nium and its affiliates have no obligation to establish or continue any relationship with, or provide any services to, any Prospective Customer; (b) all rights, title and interest in any agreements entered into between Nium or its affiliate and any Prospective Customer pursuant to the Nium Services or any other agreements are vested in Nium or its affiliate;
- that Nium shall only be required to provide the Reward to the user if:
- Nium has received the corresponding Transaction fees from the relevant Prospective Customer; and
- if the Prospective Customer to which the corresponding Reward relates has not terminated their relationship for the provision and use of the Nium Services respectively.
“IPR” means all patents, rights to inventions, utility models, copyright and related rights, trademarks, service marks, trade, business and domain names, rights in trade dress or get-up, rights in goodwill or to sue for passing off, unfair competition rights, rights in designs, rights in computer software, database rights, semi-conductor topography rights, moral rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications for and renewals or extensions of such rights, and all similar or equivalent rights or forms of protection in any part of the world.
